Nevada LLC at a glance
A Nevada LLC is cheap to file but not cheap to keep: the articles cost $75, yet the initial list and state business license bring the filing total to $425, and the renewals cost $350 a year. The fees below are set by the Nevada Revised Statutes (NRS).

The articles fee comes from NRS 86.561, the list fees from NRS 86.263 and the license fees from NRS chapter 76.
How to start an LLC in Nevada
You start a Nevada LLC by filing Articles of Organization with the Secretary of State together with the initial list and the state business license. The steps below follow the order most founders use.
- Choose and check the name. Under NRS 86.171, the name must contain "Limited-Liability Company", "Limited Liability Company", "Limited Company" or "Limited", or one of the abbreviations Ltd., L.L.C., L.C., LLC or LC. It must be distinguishable on the Secretary of State’s records from other entities. A name can be reserved for $25 under NRS 86.561 if you are not ready to file.
- Appoint a registered agent. NRS 86.231 requires a registered agent with a street address for service of process. Our registered agent service covers this for owners outside Nevada.
- File the Articles of Organization ($75). They name the LLC, its registered agent and its organizer. Our articles of organization guide explains each field.
- File the initial list ($150) at the same time. NRS 86.263 requires the initial list of managers or managing members when the articles are filed. It lists each manager or managing member with an address and is signed by an authorized person. Corrections filed within 60 days carry no fee.
- Get the state business license ($200). Under NRS 76.100, a business must hold a state business license before conducting business in Nevada. The license is issued by the Secretary of State, so LLCs normally apply and pay for it with the formation filing.
- Sign an operating agreement. Nevada does not collect it, but it records ownership, profit shares and who can sign, and banks often ask for it.
- Get an EIN. The EIN is free from the IRS. Without an SSN or ITIN you apply by fax, mail or the international phone line, as the IRS EIN page explains. Our EIN application service handles the no-SSN route.
- Register for Nevada taxes you need with the Department of Taxation, such as sales tax if you sell taxable goods in Nevada.
- Diary the renewal. The annual list and license renewal are due by the last day of your anniversary month every year. Our compliance deadline calendar can remind you.

Nevada LLC cost
A Nevada LLC costs $425 in state fees to form and $350 every year after that. So the first two years cost $775 in state fees, which is more than most states and far more than Wyoming or New Mexico.

The arithmetic: $75 + $150 + $200 = $425 in year one. Each later year costs $150 + $200 = $350. Over three years that is $425 + $350 + $350 = $1,125. If both renewals are late, add $75 + $100 = $175 in penalties. See how Nevada compares in our LLC state fee comparison tool.

Nevada LLC annual report: the annual list and business license
Nevada calls its annual report the annual list. Every Nevada LLC files it each year by the last day of the month in which it was formed, pays $150, and renews its $200 state business license at the same time.
- Due date: NRS 86.263 sets the deadline as the last day of the month containing the anniversary of the LLC’s organization. An LLC formed on 10 March 2026 files by 31 March 2027, and every 31 March after that.
- Contents: the names and addresses of the managers or managing members, signed by an authorized person.
- Late: NRS 86.272 adds a $75 penalty to a late list, and NRS 76.130 adds a $100 penalty to a late license renewal. The statute also requires the Secretary of State to send a notice about 90 days before the license renewal is due.
- Changes in between: an amended list filed within 60 days of the initial list has no fee. A manager resignation filed outside that window costs $75.

Nevada registered agent
Every Nevada LLC must have a registered agent with a street address for service of process in Nevada, under NRS 86.231. A PO box alone will not do, because the agent’s address is where lawsuits and official notices are delivered.
You can act as your own agent if you have a Nevada street address. Owners outside Nevada, and those who want to keep a home address off the public record, usually use a commercial registered agent. You change the agent by filing a change of registered agent with the Secretary of State.
State taxes that affect a Nevada LLC
For most small LLCs the main recurring state cost is the $350 in list and license fees, not a tax. The Nevada tax that people ask about most is the Commerce Tax, and it only applies to large businesses.
- Commerce Tax: the Nevada Department of Taxation’s Commerce Tax page says it applies to businesses with Nevada gross revenue above $4 million in a fiscal year, and that businesses below that do not need to file. The return is due 45 days after the 30 June fiscal year end (14 August 2026 for the 2025 to 2026 year).
- Business license exemptions: NRS 76.020 exempts some businesses from the license, such as governmental entities and 501(c) tax-exempt organizations. A typical for-profit LLC pays the $200.
- Sales and use tax: if you sell taxable goods to Nevada customers, register with the Department of Taxation and collect tax. Our sales tax registration service can file the application.
- Income tax: federal tax rules still apply. A foreign-owned single-member LLC files Form 5472 each year (see below). Ask a licensed tax professional whether you have US-source income.
Forming a Nevada LLC as a non-resident
You do not need to live in Nevada or the US to form a Nevada LLC. You need a Nevada registered agent, and you pay the same $425 and $350 a year as any local owner.
For founders outside the US who sell online and have no Nevada operations, Nevada is usually more expensive than it needs to be. - Form 5472: a single-member LLC owned by a foreign person files Form 5472 with a pro forma Form 1120 every year, even with no income, and cannot e-file it. The penalty for not filing is $25,000. See our Form 5472 guide.
- BOI: US-formed LLCs, including those owned by non-US persons, no longer report beneficial ownership to FinCEN under the final rule published 14 August 2026.
- Address: the agent’s address is for legal papers. Banks usually want a separate business address, which our US business address service provides.
How to dissolve a Nevada LLC
To close a Nevada LLC you file signed articles of dissolution with the Secretary of State and pay $100 under NRS 86.561. Under NRS 86.541, the dissolution takes effect when filed or on a later date stated in the articles, no more than 90 days after filing.
- Approve the dissolution as your operating agreement requires.
- File articles of dissolution ($100) with the Secretary of State.
- Wind up. NRS 86.541 makes the managers in office (or the members, if there are none) trustees who settle debts, collect assets and distribute what is left to members.
- Close tax accounts with the Nevada Department of Taxation and file final returns.
- Close federal matters: file the final federal return (and final Form 5472 if foreign-owned) and ask the IRS to close the EIN account.
