These terms apply when you use the BorderlessFilings website, create an account or order a service. By ordering, you agree to them, together with our privacy policy, refund policy and disclaimer. They were last updated on 27 September 2026.
1. Who we are
BorderlessFilings is operated by 95 Solutions LLC, a US limited liability company owned by Muhammad Mustafa ("we", "us", "our"). "You" means the person using the site or ordering a service, and, where you order for a company, that company as well. You can contact us at support@borderlessfilings.com.
2. What we do
We are a filing service. We prepare and submit company, tax ID and compliance filings that you order, such as US LLC and UK company formations, EIN and ITIN applications, Form 5472, state annual reports, UK confirmation statements, accounts and VAT filings, and we provide related services such as registered agent, address and reminder services. Each service page describes what the service includes and does not include.
A specialist filing partner prepares and submits filings for us. We remain your point of contact and are responsible to you for the service under these terms.
3. What we do not do
- We do not give legal, tax, accounting or financial advice, and we are not a legal practice or an accounting practice. Nobody at BorderlessFilings acts as your lawyer, CPA, Enrolled Agent, Certifying Acceptance Agent or tax adviser.
- We do not decide your tax position. Questions such as tax residence, treaty benefits, whether you have a US trade or business, or whether you must register for VAT need advice from a licensed professional.
- We do not sell, open or transfer payment or bank accounts in anyone else's name.
- We do not guarantee that any agency, bank or payment provider will accept an application.
4. Your account
You must be at least 18 and able to enter into a binding contract. If you order for a company or another person, you confirm that you have their authority. Keep your password private; you are responsible for activity on your account. Tell us straight away if you think someone else has used it.
5. Your responsibilities
- You must give us accurate, complete and current information and genuine documents, and tell us promptly if anything changes.
- You are responsible for the truth and completeness of every filing made for you. Many government forms are signed under penalty of perjury or carry penalties for false statements. Check drafts and answers before you approve or sign them.
- You are responsible for your company's legal and tax obligations, including deadlines, even when you use our reminder service. Reminders are a courtesy and may not reach you (for example, if your email address changes).
- If you give us data about other people, you confirm you are allowed to share it for the filing.
- When a yearly service ends and you do not renew it, you are responsible for appointing a replacement where the law requires one (for example, a new registered agent or registered office address).
6. Government decisions and timelines
Government agencies, including the IRS, US states, Companies House and HMRC, decide whether to accept a filing and how long they take. These decisions and timelines are outside our control. Processing times shown on our pages are the times the agencies publish, not promises from us. We are not responsible for delays, rejections or requests for more information caused by an agency, by the postal or fax systems agencies require, or by information you gave us.
7. Prices, quotes and payment
- Our fee and any government or state fee are shown separately before you pay. US services are priced in US dollars and UK services in British pounds.
- For services marked "Get a quote", we send you a fixed price in your portal. There is no contract for that service until you accept the quote by paying it. The fixed price does not change unless you change the scope of the work, and we ask you before any change.
- You can pay by PayPal (including card checkout through PayPal), bank transfer, Wise or Payoneer, and by other methods we add later, such as Stripe. Work starts once payment is confirmed. Charges made by your own bank or payment provider are not included in our price, so please make sure the amount we receive matches the invoice.
- If any tax ever applies to our fee, it will be shown on your invoice before you pay.
8. Government fees
Government and state fees are passed on at cost. Once we have paid a fee to an agency on your behalf, it is generally not refundable, because agencies rarely refund fees. If an agency does refund a fee to us, we pass it on to you. See our refund policy.
9. Yearly services and renewals
Some services run for a year (such as a registered agent, registered office, business address or compliance plan), and some are monthly or quarterly. The service page and your invoice say so. We never renew or charge for these automatically. We remind you before the period ends, and you are charged again only if you order the renewal.
10. Cancellations and refunds
You can cancel an order at any time by messaging us in your portal. What is refunded depends on how far the work has progressed, as set out in our refund policy.
11. Communications
We communicate by email and through portal messages. By ordering, you agree to receive service emails about your orders, payments, messages and, if you keep them on, deadline reminders. These are not marketing. Please send documents and tax ID numbers only through the portal, never by email or chat.
12. Documents and confidentiality
We keep your information confidential and use it only to provide our services, as explained in our privacy policy and on our security page. Documents you upload are deleted automatically a set period after your order is completed, so please keep your own copies of everything you send us and download the documents we deliver.
13. Acceptable use
You must not use our site or services:
- for any illegal purpose, including money laundering, fraud, tax evasion or evading sanctions;
- to form or manage a company for someone who is hiding their identity or ownership;
- with false, forged or stolen identity documents, or in another person's name without their authority;
- to test, attack or overload our systems, or to access data that is not yours.
We may refuse or stop any order, and report it to the relevant authorities where the law requires, if we reasonably suspect a breach of this section.
14. Our content
The text, guides and tools on this site belong to us. You may read, print and share links to them for your own use, but you may not copy or republish them in bulk without our permission. The government forms we file are published by the agencies and remain theirs.
15. Limitation of liability
We provide our services with reasonable care and skill. To the extent the law allows:
- our total liability to you for any claim about a service is limited to the fee you paid us for that service (not including government fees);
- we are not liable for indirect or consequential losses, such as lost profits, lost business opportunities or loss of a bank or payment account;
- we are not liable for penalties, interest, rejections or delays caused by inaccurate, incomplete or late information from you, by your failure to act on our messages, or by decisions of agencies, banks or payment providers;
- we are not liable for failures caused by events outside our reasonable control, such as agency system outages, postal delays or internet failures.
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot be limited by law. If you are a consumer, nothing in these terms takes away rights you have under the consumer laws of the country where you live that cannot be excluded by contract.
16. Indemnity
You agree to cover our reasonable losses and costs, including reasonable legal fees, arising from a claim by a third party or an agency that results from false or misleading information or documents you gave us, or from your breach of these terms.
17. Ending our agreement
You can close your account at any time by messaging us. We may suspend or close an account, or refuse an order, if you break these terms, if we reasonably suspect fraud or illegal use, or if we can no longer provide a service. If we end a service for a reason that is not your fault, we refund our fee for work we have not done. Sections that by their nature should continue, such as liability, indemnity and governing law, continue after the agreement ends.
18. Governing law and disputes
These terms are governed by the laws of the state in which 95 Solutions LLC is organized and the federal laws of the United States that apply there. The courts of that state have jurisdiction over any dispute, except where the law of the country where you live as a consumer gives you the right to bring a claim in your local courts. Before starting any formal dispute, please contact us so we can try to resolve it.
19. Changes to these terms
We may update these terms from time to time. The date at the top shows the latest version. Changes apply to orders placed after they are published; an order you have already paid for continues under the terms that applied when you placed it.
20. General
If any part of these terms is found to be unenforceable, the rest remains in force. If we do not enforce a right straight away, we can still enforce it later. These terms, with the policies linked above and the description of the service you ordered, are the whole agreement between you and us about our services.
