Oklahoma LLC at a glance

The fees come from the LLC Act’s fee section, 18 O.S. § 2055, which sets $100 for original articles of organization, $50 for articles of dissolution, $10 for a name reservation and $25 for a change of registered agent address. How to start an LLC in Oklahoma
You start an Oklahoma LLC by picking a compliant name, naming a registered agent with an Oklahoma office, and filing Articles of Organization with the Secretary of State for $100. Here are the steps in order.
- Choose and check the name. Under 18 O.S. § 2008, the name must contain "limited liability company" or "limited company", or the abbreviation LLC, LC, L.L.C. or L.C. ("Limited" can be "Ltd." and "Company" can be "Co."). It must be distinguishable from other entities on the Secretary of State’s records, including names used in the preceding three years, unless the other entity consents in writing. A name reservation costs $10.
- Appoint a registered agent. The agent needs an Oklahoma office open during regular business hours to accept service (see the registered agent section below). Our registered agent service can act for you.
- File the Articles of Organization. File with the Oklahoma Secretary of State and pay the $100 fee. Our articles of organization guide explains the usual fields, such as the name and the registered agent and office.
- Sign an operating agreement. It is not filed with the state, but it records ownership, voting and exit rules, and banks often ask to see it.
- Get an EIN. The EIN is free from the IRS. With an SSN or ITIN you can apply online; without one you apply by fax, mail or phone, as the IRS EIN page explains. Our EIN application service handles the no-SSN route.
- Register with the Oklahoma Tax Commission if needed. Sales tax permits and withholding accounts are set up with the Tax Commission before you start selling taxable goods or paying staff in Oklahoma.

Oklahoma LLC cost
An Oklahoma LLC costs $100 in state fees to form and $25 a year after that. There is no franchise tax on LLCs, so those two figures are the core state cost for most small businesses.

The arithmetic for a small LLC with no extras: $100 in the first year, because the first annual certificate is due on the first anniversary. In year two you pay $25, and $25 each year after, so three years of state fees total $100 + $25 + $25 = $150. A name reservation adds $10 once. Card or portal charges, if any, are separate from these statutory fees.

Oklahoma LLC annual report (annual certificate)
Oklahoma’s version of an annual report is the annual certificate: every domestic LLC files one each year on the anniversary of filing its articles and pays $25. 18 O.S. § 2055.2 sets the rule.
- When: on the anniversary date of filing the Articles of Organization. An LLC filed on 14 May files by 14 May each following year.
- Reminder: the Secretary of State emails a notice to the LLC’s last known email address of record at least 60 days before the anniversary, so keep that email current.
- If you miss it: an LLC that has not filed and paid within 60 days after the due date ceases to be in good standing. The Secretary of State then will not process its other filings until it has been reinstated.
- Foreign LLCs: an LLC registered in Oklahoma from another state files the same $25 certificate on its registration anniversary.

Oklahoma registered agent
Every Oklahoma LLC must keep a registered office and a registered agent. Under 18 O.S. § 2010, the agent can be the LLC itself, an individual resident of Oklahoma, or a domestic or qualified foreign corporation, LLC or partnership. Whoever serves must have a business office identical with the registered office that is open during regular business hours to accept service of process.
That office rule is the practical catch. An LLC can name itself as agent only if it has an Oklahoma office staffed during business hours, which most online businesses and founders abroad do not. Oklahoma LLC registration timing
The Oklahoma Secretary of State’s published processing times could not be confirmed from its website when we checked, so we do not quote one here. State taxes that affect an Oklahoma LLC
Oklahoma does not charge LLCs franchise tax. The Oklahoma Tax Commission’s business help center says "LLCs are statutorily exempt from franchise tax." The taxes that usually matter are sales tax and income tax.
- Sales and use tax for remote sellers: the Tax Commission says a seller without physical presence in Oklahoma that made more than $100,000 in Oklahoma taxable sales in the preceding or current calendar year must register. Forming an Oklahoma LLC as a non-resident
You do not have to live in Oklahoma or the US to form an Oklahoma LLC. The requirement is a registered agent with an Oklahoma office, not resident members or managers.
At $25 a year with no franchise tax, Oklahoma is inexpensive to keep, so it is a reasonable choice if you will trade there. If you live outside the US and have no Oklahoma customers, staff or property, Wyoming and New Mexico remain the usual choices for founders abroad, and New Mexico has no annual report for LLCs at all. - Form 5472: a single-member LLC wholly owned by a foreign person files Form 5472 with a pro forma Form 1120 every year, even with no income. The penalty for not filing is $25,000. See our Form 5472 guide.
- BOI: US-formed LLCs, including those owned by non-US persons, no longer file beneficial ownership reports with FinCEN under the final rule published 14 August 2026.
- Address: the registered office is for legal papers. Banks usually want a separate business address, which our US business address service provides.
How to dissolve an LLC in Oklahoma
To close an Oklahoma LLC you file articles of dissolution with the Secretary of State, and the fee under 18 O.S. § 2055 is $50. Before filing, settle debts, distribute what is left, close accounts and file final federal and Oklahoma tax returns.
- Keep the annual certificate current until the dissolution is filed. The Secretary of State will not process filings for an LLC that has lost good standing until it is reinstated, which can hold up the closing.
- Sales tax and payroll accounts with the Tax Commission are closed separately from the Secretary of State filing.
- Foreign LLCs leaving Oklahoma file an application for withdrawal instead, which costs $100.
