What a Wyoming registered agent service covers
A Wyoming registered agent receives lawsuit papers and state notices for your company at a physical address in Wyoming. Wyoming is the state most of our non-resident clients choose for their LLC, and its registered agent rules are more detailed than most states' rules. Wyoming registered agent requirements
Wyoming's Title 17 sets out the rules, and the core requirement in W.S. 17-28-101 is that each business entity "shall continuously maintain" a registered office and a registered agent in the state.
- Physical location: the registered office must be a street address in Wyoming where the agent can accept service of process. The Secretary of State says it cannot be a PO box, drop box, mail forwarding service or UPS store. A PO box can appear only alongside a physical address.
- Email: each entity and its agent must keep an email address the Secretary of State's office can use to serve documents.
- Who may serve: a Wyoming resident aged 18 or over, a business entity authorized in Wyoming, or a registered commercial registered agent.
The agent is named on your Articles of Organization, which is why the choice has to be made before your Wyoming LLC is filed.
Wyoming's commercial registered agent rules
Wyoming regulates registered agents more closely than most states. Under W.S. 17-28-105, no person may act as a registered agent in Wyoming without registering as a commercial registered agent, unless they serve ten or fewer entities. The same section bars anyone convicted of a felony, and anyone whose conduct is intended or likely to deceive or defraud the public, from acting as a commercial agent.
The agent's duties are listed in W.S. 17-28-107. The agent must:
- keep a physical Wyoming address and an email address
- accept service of process for each company it represents
- keep the names and addresses of the company's directors, officers, managers or members (the "key individuals")
- keep the name, physical address and business phone number of a "communications contact", a natural person authorized to receive communications from the agent
- keep a copy of the written contract that sets up the agency
- update this information within 60 days of any change
This explains why a Wyoming agent asks for more than your name and email. Our intake collects the key individuals and communications contact details so the agent can meet these duties. The law also allows the company, with the agent's agreement, to file this information directly with the Secretary of State instead.
The Wyoming annual report and your registered agent
Your registered agent does not file the annual report for you, but the two are linked: an LLC that falls behind on either loses its standing through the same process.
- Due date: the report is due on the first day of the anniversary month of formation and can be filed up to 120 days early.
- Fee: the license tax is $60 or two-tenths of one mill on the dollar ($0.0002) of Wyoming assets, whichever is greater. Most non-resident LLCs with no Wyoming assets pay $60, plus a card convenience fee online.
- Late: the entity becomes delinquent on the second day of the month after the due date and is administratively dissolved if the report is not filed within 60 days.
- Content: the report asks for current addresses and contact information, so it must match what your agent holds.

If your Wyoming registered agent resigns or lapses
If an LLC's agent resigns and the company does not appoint a replacement, the Secretary of State sends a notice by first class mail or email. Unless the company complies within 60 days, its articles are forfeited. The company can be revived within two years, but reinstatement for a missing agent costs $350.
Agents often resign when their fee goes unpaid, so a card that expires on an auto-renewal can end in exactly this situation. Keep your billing details current with whichever agent you use.
Changing your Wyoming registered agent
You can change agents at any time by filing a change of registered agent with the Secretary of State. The state fee is $5 per entity. When you switch to us, our filing team prepares the change filing, you approve it in your portal, and the fee is passed on at cost.
Privacy for Wyoming LLC owners
Wyoming's Articles of Organization do not ask for member or manager names, and the registered office shown on the public record is the agent's address, not yours. The key individuals list sits with the agent rather than on the public register, unless the company chooses to file it with the state. Privacy does not mean anonymity from authorities: the agent must be able to produce this information when the law requires it.

Timelines
Our team starts once intake is complete. For a new LLC filed online, the Wyoming Secretary of State says the company is active as soon as the online filing is completed, and the agent is in place from that moment. For a change of agent we track the filing in your portal until the state record updates.
Wyoming registered agent cost and choosing a provider
There is no state fee for having an agent, only the $5 fee to change one. Commercial prices vary widely. On 27 September 2026, Harbor Compliance listed Wyoming service starting at $99 for new customers and renewing at $159, and Wyoming Registered Agent Services LLC advertised $25 a year on renewal. Price is one factor. Ask any provider how fast scans reach you, whether reminders are sent before the annual report falls due, what the renewal costs, and whether the agent is set up to meet Wyoming's record and email duties. A Wyoming resident can serve as their own agent for free, but a founder abroad cannot.
