Indiana LLC at a glance
An LLC in Indiana is one of the cheaper ones to run: there is no yearly report, only a Business Entity Report every two years. Filings go to the Indiana Secretary of State’s Business Services Division through INBiz, the state’s online business portal.

The statutory fees come from Indiana Code, for example IC 23-0.5-9-19 for the articles. The online totals, which include INBiz’s processing charge, are what the portal shows when you pay.
How to start an LLC in Indiana
You start an Indiana LLC by checking the name, naming a registered agent and filing Articles of Organization through INBiz. The steps below follow the order most founders use.
- Choose and check the name. INBiz’s name availability guide says Indiana law requires an LLC name to be distinguishable from any other business of the same type. Under IC 23-0.5-3-1, endings such as "LLC" or "L.L.C." are ignored when names are compared. Search INBiz before you file. Name reservations are available online only through INBiz.
- Name a registered agent. IC 23-0.5-4-1 requires every Indiana LLC to keep a registered agent in the state. The articles let you name a commercial registered agent or a noncommercial agent with an address. Our registered agent service covers this.
- File the Articles of Organization. File online through INBiz ($75 statutory fee plus the processing charge) or mail State Form 49459 with the $100 fee. The form confirms the registered agent has consented to the appointment. Our articles of organization guide explains each field.
- Sign an operating agreement. Indiana does not collect it, but it records ownership, profit shares and who can sign. Banks usually ask to see it.
- Get an EIN. The EIN is free from the IRS. Without an SSN or ITIN you apply by fax, mail or the international phone line, as the IRS EIN page explains. Our EIN application service handles the no-SSN route.
- Register for Indiana taxes you need. INBiz links to the Department of Revenue and the Department of Workforce Development for sales tax, withholding and unemployment accounts.

Indiana LLC cost
An Indiana LLC costs $75 in statutory fees to form online plus INBiz’s processing charge, or $100 on paper. After that, the only recurring state filing is the Business Entity Report every two years, which INBiz lists at $32 online.

The arithmetic over four years for an LLC filed online: the $75 articles fee plus the INBiz processing charge in year one, nothing in year two, $32 for the first report in year three, and nothing in year four. On paper, the same four years cost $100 + $50 = $150. The report fee comes from IC 23-0.5-9-34 ($20 electronic, $50 otherwise) and INBiz’s Business Entity Report page ($32 online). Indiana LLC annual report: the Business Entity Report
Indiana does not have a yearly annual report. Instead, every LLC files a Business Entity Report every other year, due in the month and on the day it was formed, with a grace period to the end of that month. The first report is due two years after formation.
- Fee: $32 for a for-profit business filed online on INBiz, or $50 on paper (State Form 48725).
- Filing method: INBiz recommends online filing and says 90% of paper reports are rejected because of errors.
- Example: an LLC formed on 12 May 2026 files its first report by 31 May 2028, then by 31 May 2030, and so on.
Missing the report has serious effects. INBiz says an Indiana business that does not file is administratively dissolved and may not carry on any business except applying for reinstatement, and it may lose the rights to its name and assumed names 120 days after dissolution.

Indiana registered agent
Every Indiana LLC must designate and keep a registered agent in Indiana under IC 23-0.5-4-1. The Articles of Organization give two choices: a commercial registered agent, or a noncommercial registered agent named with an address.
The agent receives lawsuits and official notices for the LLC, and its details are public. You can act as your own noncommercial agent if you have an Indiana address. Owners elsewhere, or anyone who wants to keep a home address off the record, usually use a commercial agent. To change agents you file a Statement of Change of Registered Agent (State Form 56367).
Indiana LLC registration: filing online through INBiz
INBiz is the fastest and cheapest way to register an Indiana LLC. The statutory fee for an electronic filing is $25 lower than paper, and INBiz advises online filing because most paper filings are rejected for errors.

State taxes that affect an Indiana LLC
The Secretary of State’s only recurring filing is the Business Entity Report. The Indiana taxes that usually matter depend on what the LLC does: selling goods, hiring staff or earning Indiana-source profit.
- Sales tax: the Department of Revenue’s sales tax page says businesses selling tangible goods register to collect Indiana’s 7% sales tax. Remote sellers should check the Department of Revenue’s current rules before selling into Indiana. Our sales tax registration service can file the application.
- Payroll: hiring in Indiana means withholding registration with the Department of Revenue and an unemployment account with the Department of Workforce Development.
- Income tax: profit of an LLC taxed as a partnership or disregarded entity passes to its owners. Indiana-source income can be taxed in Indiana even for owners elsewhere, so ask a licensed tax professional about your facts.
Forming an Indiana LLC as a non-resident
You do not need to live in Indiana or the US to form an Indiana LLC. You need a registered agent in Indiana and must file the Business Entity Report every two years.
Indiana’s low running cost makes it reasonable if you actually operate there. - Form 5472: a single-member LLC owned by a foreign person files Form 5472 with a pro forma Form 1120 every year, even with no income, and cannot e-file it. The penalty for not filing is $25,000. See our Form 5472 guide.
- BOI: INBiz still links to a beneficial owner reporting page, but US-formed LLCs, including those owned by non-US persons, no longer report to FinCEN under the final rule published 14 August 2026.
- Address: the agent’s address is for legal papers. Banks usually want a separate business address, which our US business address service provides.
How to dissolve an LLC in Indiana
To close an Indiana LLC you file Articles of Dissolution with the Secretary of State: $20 online through INBiz or $30 on paper using State Form 49465. INBiz’s close a business page says you must file with the Secretary of State first.
- Approve the dissolution as the operating agreement requires.
- File Articles of Dissolution on INBiz ($20) or on paper ($30). The paper form notes that notice must also go to the Department of Revenue and the Department of Workforce Development.
- Close other accounts. INBiz says closing on INBiz only ends your obligations to the Secretary of State. Close tax accounts with the Department of Revenue, notify your county assessor, and close any unemployment account.
- Close federal matters: file the final federal return (and final Form 5472 if foreign-owned) and ask the IRS to close the EIN account.
